1. Agreement to Terms

By accessing or using FieldForceX ("the Platform"), including our website (fieldforcex.io), mobile applications, and ChatGPT integration (FieldForceX Farm Work Assistant), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use the Platform. We reserve the right to modify these Terms at any time, and your continued use of the Platform constitutes acceptance of any changes.

2. Description of Service

FieldForceX is a workforce platform that connects agricultural employers ("Farms") with seasonal workers ("Workers") in Australia. Our services include:

• Job listing and matching services
• Worker profile creation and management
• Visa verification assistance
• Communication tools between Farms and Workers
• Information and guidance about farm work in Australia
• Waitlist registration for platform launch

3. User Accounts

3.1 Account Creation

To use certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for any reason, including violation of these Terms, fraudulent activity, or providing false information.

4. User Responsibilities

4.1 For Workers

• Provide accurate information about your identity, visa status, and work eligibility
• Maintain valid work rights in Australia throughout your employment
• Comply with all applicable laws, including immigration and employment laws
• Honor commitments made to Farms through the Platform
• Report any issues or concerns about workplace conditions

4.2 For Farms

• Provide accurate information about your business, jobs, and working conditions
• Comply with all applicable employment laws, including minimum wage requirements
• Verify worker eligibility through appropriate channels (e.g., VEVO)
• Provide safe working conditions as required by law
• Pay workers fairly and on time as agreed
• Not engage in any form of worker exploitation

5. Platform Role and Limitations

5.1 Facilitation Only

FieldForceX is a platform that facilitates connections between Farms and Workers. We are not an employer, employment agency, or labour hire company. Any employment relationship is directly between the Farm and the Worker.

5.2 No Guarantee of Employment

We do not guarantee that Workers will find employment or that Farms will find suitable workers. We provide tools and information to assist in this process, but outcomes depend on many factors beyond our control.

5.3 Information Accuracy

While we strive to provide accurate information about visa requirements, regional work, and employment conditions, this information is for general guidance only. Users should verify all information with official government sources and seek professional advice where appropriate.

6. Fees and Payments

6.1 Platform Fees

FieldForceX charges a platform fee of 5.5% on completed wages processed through the Platform. This fee is paid by Farms, not Workers. Workers always receive their full agreed wage.

6.2 Free Services

The following services are free:

• Worker registration and profile creation
• Job browsing and applications
• Waitlist registration
• ChatGPT assistant for information and guidance

7. Prohibited Conduct

You agree not to:

• Provide false or misleading information
• Impersonate any person or entity
• Use the Platform for any illegal purpose
• Harass, abuse, or harm other users
• Attempt to circumvent platform fees
• Scrape, copy, or redistribute platform content without permission
• Interfere with the proper functioning of the Platform
• Engage in or facilitate worker exploitation
• Post spam, malware, or malicious content

8. Intellectual Property

The Platform and its original content, features, and functionality are owned by FieldForceX and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of content you submit to the Platform, but grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute such content in connection with providing our services.

9. Disclaimers

9.1 "As Is" Service

The Platform is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

9.2 Third-Party Content

We are not responsible for the accuracy, completeness, or reliability of any content posted by users or third parties on the Platform.

10. Limitation of Liability

To the maximum extent permitted by law, FieldForceX shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or data
• Employment disputes between Farms and Workers
• Workplace injuries or accidents
• Visa or immigration issues
• Actions of other users on the Platform

11. Indemnification

You agree to indemnify and hold harmless FieldForceX, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your violation of any rights of a third party.

12. Dispute Resolution

12.1 Between Users

Disputes between Farms and Workers should be resolved directly between the parties. FieldForceX may, at its discretion, provide mediation assistance but is not obligated to do so.

12.2 With FieldForceX

Any disputes arising from these Terms or your use of the Platform shall be governed by the laws of Australia. You agree to first attempt to resolve any dispute informally by contacting us. If informal resolution fails, disputes shall be resolved through binding arbitration in accordance with Australian law.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Australia, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts of Australia.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on the Platform and updating the "Last updated" date. Your continued use of the Platform after such changes constitutes acceptance of the new Terms.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
